Business Law – Formation 301- Business entity litigation for cannabis businesses


This webinar will go over internal litigation within business entities in the cannabis industry. Topics will include common types of litigation (minority/majority shareholder disputes, breach of fiduciary duty, etc.), steps for evaluating a potential litigation case, unique considerations for cannabis entities in internal dispute litigation, alternative dispute resolution, and settlement considerations.

Dean Richardson, Moye White LLP

Dean Richardson is a trial lawyer at Moye White LLP in Denver, Colorado, with extensive litigation experience representing a variety of clients in cannabis, shareholder, commercial, trade secret, real estate and franchise disputes. Currently, Dean's primary focus is on assisting cannabis clients with business disputes. In 2018, Dean was named to The National Law Journal's inaugural list of 39 Cannabis Trailblazers. He is well versed in all phases of litigation, including negotiation, due diligence, pleadings, discovery, motions, mediation, arbitration, trial, and appeals. Prior to private practice, Dean interned at the appellate court level (Colorado Supreme Court) and clerked for two different trial courts (Colorado District Court; Maryland Circuit Court). He received his B.B.A. degree (Finance) from The George Washington University where he was a scholarship athlete on the Men's Swimming Team. He received his J.D. degree from the University of Denver College of Law where he graduated with the highest academic distinction, Order of Saint Ives. Mr. Richardson is licensed to practice law in Colorado, Maryland and the District of Columbia (as well as numerous federal jurisdictions throughout the country). He was selected as a Rising Star by Colorado Super Lawyer Magazine and 5280 Magazine four consecutive years (2012-2016), is rated AV® Preeminent™ by Martindale-Hubbell (their highest ranking), and was selected as a Colorado Super Lawyer (2020-2021). Dean is also an advocate for local economies, local food (and farmers), and live music.

Bryna Dahlin, Chair, Cannabis Industry Group, Benesch

Bryna counsels companies in established and emerging industries at all stages of development. She is widely known for effectively navigating the cutting-edge legal issues present in the fast-growing cannabis industry. Her clients range from growers, distributors, product manufacturers and ancillary businesses to outside investors and traditional companies impacted by cannabis laws. Bryna also advises on issues of regulatory compliance; risk avoidance; interplay between state and federal law; contracts and licensing; advertising and product packaging; and intellectual property.

Phillip Neiman, Mediator & Arbitrator, NeimanADR

Phillip Neiman, Esq., FCIArb is a mediator and arbitrator, specializing in the resolution of complex business and commercial disputes. He devotes much of his practice to securities and investment-related cases, including shareholder, partnership and M&A disputes, and has substantial experience resolving employment, insurance, intellectual property, professional liability and privacy tort cases. His subspecialties include fintech, blockchain, cryptocurrency and cannabis sector disputes. Prior to establishing his ADR practice in 2004, Mr. Neiman spent a decade as CEO and General Counsel of a FINRA-registered investment bank. Tom Haren, Partner, Frantz Ward LLP

Tom is also Executive Vice President of the Ohio Hemp Association, in which role he has been actively involved in helping regulators draft legislation covering hemp regulation in Ohio, and a former nominee for the State Senate.
